Effective Date: February 2026 Contracting Entity: Bryant Education Pathways Ltd ("BEP", "we", "us")
1. PREAMBLE & AGREEMENT
These Terms of Business ("Terms") constitute a legally binding contract between Bryant Education Pathways Ltd and the purchasing entity ("The Client", "you"). By purchasing any Service—including Diagnostics, Consultancy, The Guardian Plan, or Precision Tutoring—you agree to be bound by these Terms.
The Services Covered:
Consultancy: Tier 1 (Benchmark), Tier 2 (Strategy), Tier 3 (Blueprint).
Bespoke Services: International Transition & Custom Consulting.
The Guardian Plan: Monthly Academic Strategy Subscriptions.
Precision Tutoring: "The Skills Clinic" and "The Strategy Lab."
PART A: FINANCIAL TERMS
2. FEES, PAYMENT & CURRENCY
2.1. Advance Payment: BEP operates on a strictly prepaid basis. All invoices must be settled in full prior to the commencement of any service. We do not offer credit terms or arrears billing.
2.2. Continuous Payment Authority (CPA):
By engaging BEP, you authorise us to store your payment card details securely via our payment processor (Stripe).
You authorise BEP to automatically charge this card for any agreed Recurring Subscriptions (The Guardian Plan) or agreed renewal of Tuition Blocks.
Failed Payments: If a payment fails, access to services (including the Atom Learning license) will be suspended immediately until the balance is cleared.
2.3. Currency & International Fees: All fees are quoted in Great British Pounds (GBP).
International Clients: You are responsible for all currency exchange costs and bank transfer fees. BEP must receive the full invoice amount in GBP. Any shortfall due to bank charges will remain a debt on your account.
2.4. Price Review: BEP reserves the right to review and change subscription fees. You will be given 30 days' written notice of any price increase, during which time you may cancel without penalty.
2.5. Late Payment: We reserve the right to charge interest on overdue amounts at the statutory rate of 8% plus the Bank of England base rate, plus a fixed administrative penalty fee of £40.
3. CANCELLATION, REFUNDS & THE "COOLING-OFF" WAIVER
3.1. Statutory Waiver: Under the Consumer Contracts Regulations 2013, you normally have a 14-day right to cancel. However, by purchasing our services, you expressly request that we begin the service immediately (e.g., setting up accounts, briefing tutors, or sending diagnostic links). You acknowledge that by requesting immediate commencement, you waive your right to the 14-day cooling-off period once the service has started.
3.2. Definition of Commencement:
Consultancy/Diagnostics: The moment a test link is generated or a file analysis begins.
Tuition/Subscriptions: The moment the first lesson is booked or the Atom Learning account is provisioned.
3.3. Block Refund Policy: Once the first lesson of a block has been delivered, the remainder of that block is non-refundable. We do not offer pro-rata refunds for "change of mind," "scheduling clashes," or "child refusal" midway through a course.
3.4. The "Discount Clawback" (Fair Usage):
Tuition Blocks are sold at a discounted rate compared to single sessions.
In the exceptional event that BEP grants a discretionary refund for a cancelled Block, the lessons already delivered will be re-calculated at the full "Single Session" standard rate. The refund will be the difference between the Total Paid and this re-calculated amount. You may not benefit from a bulk discount if you do not complete the bulk block.
PART B: PRECISION TUTORING & THE GUARDIAN PLAN
4. SERVICE DEFINITIONS
We operate a clinical structure to ensure neurological mastery.
4.1. Option A: The Skills Clinic (Years 3–5): Strictly 45 Minutes. Focus: Foundations & Confidence.
4.2. Option B: The Strategy Lab (Years 6+): Strictly 60 Minutes. Focus: Exam Stamina.
4.3. The "Hard Stop": Lessons are scheduled back-to-back. Tutors cannot run over time. Any parent discussions must occur within the allocated lesson time.
5. SCHEDULING, EXPIRY & THE "STABILITY PROTOCOL"
To ensure academic momentum and protect our tutors' professional calendars, strict scheduling rules apply.
5.1. Expiry Dates ("Use It or Lose It"):
"Sprint" Block (4 Sessions): Valid for 4 Weeks from purchase.
"Momentum" Block (10 Sessions): Valid for 10 Weeks from purchase.
Unused credits remaining after these dates are automatically forfeited.
5.2. Cancellation Policy: You must give at least 24 hours' notice to cancel or reschedule a lesson. If notice is less than 24 hours, the lesson credit is automatically deducted.
5.3. The "Stability Protocol" (Rescheduling Limit):
The Allowance: You may reschedule a lesson one time per calendar month, provided you give at least 24 hours' notice.
Excess Changes: Any additional rescheduling requests within the same month (even with notice) are not guaranteed. If the tutor cannot accommodate the change, the lesson remains payable.
No Rollover: Unused rescheduling allowances do not roll over to the next month.
5.4. Lateness: If the student joins late, the lesson finishes at the scheduled time. If the student is more than 15 minutes late without notice, the tutor will log off, and the credit is forfeited.
6. THE ATOM LEARNING "ECOSYSTEM" LICENSE
6.1. Contingent Access: The professional Atom Learning license (valued at ~£70/month) is provided strictly as a tool for active BEP clients.
6.2. Termination of License: If your Tuition Block expires or your Guardian Plan is cancelled, your access to the Atom platform will be revoked immediately. BEP retains ownership of all data generated.
PART C: CLIENT OBLIGATIONS & SAFEGUARDING
Failure to adhere to these clauses constitutes a Material Breach of Contract.
7. FULL DISCLOSURE (SEN & MEDICAL)
7.1. Duty to Disclose: You agree to disclose any known medical conditions, Special Educational Needs (SEN), or behavioral challenges (e.g., ADHD, ASD, Dyslexia) prior to the commencement of tuition.
7.2. Right to Terminate: If a tutor finds they are unable to support a student effectively due to undisclosed needs, BEP reserves the right to terminate the arrangement. In such cases, a pro-rata refund for unused lessons may be issued at Directors' discretion.
8. PARENTAL CONDUCT & SUPERVISION
8.1. The "Earshot" Rule: A responsible adult must remain on the premises and within earshot for the entire duration of the lesson.
8.2. Immediate Termination: If a tutor suspects a child is home alone, they are legally required to terminate the session immediately. This session will be charged in full.
8.3. Non-Interference: Parents must not sit next to the child or answer questions for them.
8.4. Zero Tolerance: Aggressive, abusive, or harassing behaviour towards BEP staff or tutors will result in immediate termination of all services without refund.
9. TECHNOLOGY & RECORDING (STRICT PROHIBITION)
9.1. Platform: Lessons take place on Google Meet.
9.2. Recording Prohibition: BEP does not record video of lessons. You strictly may not record (video or audio) any session, consultation, or assessment without the express written permission of the BEP Directors.
9.3. AI Transcripts: You consent to BEP using automated AI transcription tools for the sole purpose of lesson planning and progress tracking.
PART D: LIABILITY, INDEMNITY & LEGAL
10. NON-SOLICITATION ("ANTI-POACHING")
10.1. Restriction: You acknowledge that BEP invests significantly in vetting and training tutors. You agree not to solicit, employ, or engage any tutor introduced by BEP for private tuition outside of this Agreement.
10.2. Duration: This restriction applies during your course and for 12 months after your last lesson.
10.3. Placement Fee: In the event of a breach of this clause, you agree to pay BEP a Placement Fee of £2,000 per tutor solicited. This fee represents the recruitment and marketing costs incurred by BEP.
11. LIMITATION OF LIABILITY
11.1. No Guarantees: BEP provides expert guidance and tuition. We do not and cannot guarantee specific exam results, "passing" the 11+, or admission to any specific school.
11.2. Liability Cap: Our total liability to you for any claim arising out of these services is limited to the total amount paid by you for the specific Service purchased.
11.3. Force Majeure: BEP is not liable for failure to deliver services due to events outside our control, including but not limited to: internet service provider failures, global platform outages (e.g., Atom Learning, Google), acts of God, or government restrictions.
12. INTELLECTUAL PROPERTY
12.1. Ownership: All materials, frameworks, "Clarity Briefs," roadmaps, School Shortlists, and resources provided by BEP remain the intellectual property of Bryant Education Pathways Ltd.
12.2. Licence: You are granted a personal, non-transferable licence to use these materials for your child’s education. You may not publish, share on social media, or resell them.
13. GOVERNING LAW
These terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim.
By proceeding with payment, you acknowledge that you have read, understood, and agreed to these Terms of Business.
